These terms are the agreement between Radius Studios LLC, doing business as Kaixon (30 N Gould St Ste N, Sheridan, WY 82801, USA — "Kaixon", "we") and you, the business using our services ("you", "Customer"). You accept them by creating an account, starting a free trial, subscribing, or using the service after seeing them at checkout.
1. What Kaixon is
Kaixon is a compliance readiness platform for small and medium businesses: a self-assessment covering the GDPR, NIS2 and the EU AI Act; a readiness report; and, for subscribers, a dashboard with guided compliance templates (the Document Vault), an action tracker, and regulatory alerts. What your plan includes is shown on the pricing page and at checkout.
Kaixon is for business use. By using it you confirm you're acting for a business, not as a consumer.
2. The most important thing: informational, not legal advice
Everything Kaixon produces — scores, reports, gap lists, templates, alerts — is an informational self-assessment tool. It is not legal advice, and using Kaixon doesn't create an attorney-client or advisory relationship. A good score doesn't guarantee compliance and isn't a defence to regulatory action. You stay responsible for your own compliance, and for getting professional advice where your situation needs it.
3. Your account
Keep your account email accurate and your inbox secure — we sign you in by email link, so whoever controls that inbox controls your account. Tell us at support@kaixon.ai if you think your account has been misused. You're responsible for people you give access to.
4. Free trial
Every paid plan starts with a 30-day free trial. No card is needed to start, and nothing is charged. The trial ends by itself after 30 days unless you subscribe.
During the trial you can use everything in your plan: open and fill in the templates, take the assessment, see your score, upload your evidence and receive alerts. Two things wait until you subscribe: documents Kaixon creates for you — filled-in templates, reports and plans — cannot be exported, printed or downloaded during the trial; and your own files stay yours throughout — anything you uploaded can be downloaded at any time, exactly as you uploaded it.
One free trial per person, identified by the email address on the account, across all plans. A free trial isn't available to an account that has held a paid Kaixon plan before, and we may refuse a trial to a temporary or disposable email address. If you move to a higher plan during a trial, the same 30 days keep running.
5. Plans, billing and renewal
- Paid plans are billed through Stripe, monthly or annually, and renew automatically until you cancel.
- Plans are priced in euros; customers in the United States are billed in US dollars at the same figure.
- Prices are shown at checkout. For EU customers the price shown is the price you pay: it includes VAT where VAT applies, and businesses with a valid VAT ID pay no VAT under the reverse-charge mechanism. For US customers, state and local sales tax is added at checkout where it applies.
- We can change prices with at least 30 days' notice; changes take effect at your next renewal, so you can cancel first.
- Promotional offers (for example founding-member annual pricing) are governed by the offer's stated terms.
6. Cancelling, and what happens after
Cancelling. Cancel anytime from the billing link in your Kaixon subscription emails, or by emailing support@kaixon.ai. Cancellation takes effect at the end of your paid period — you keep full access until then.
No refunds. We don't give refunds, including for unused time. A month you have paid for buys the documents as they stood that month: you keep what you exported (section 8), and after your subscription ends there are no further updates, scores or alerts. Nothing here affects rights the law doesn't let us exclude.
When a paid subscription ends (however it ends): your vault becomes read-only, and you have a 30-day window to export your records (Excel, Word, PDF — the same export tools you use day to day). After that window closes we delete your vault data, within the period the Data Processing Agreement sets.
When a free trial ends without a subscription: your vault becomes read-only. Files you uploaded yourself stay downloadable; documents Kaixon created for you do not (section 4). We delete the vault, including your uploaded files, no sooner than 30 days after the trial ends, and we email you before we do.
Suspension. We can suspend or end your subscription for non-payment or material breach of these terms, with notice and a chance to fix it where that's reasonable.
7. Your content and your data
Your records are yours. Everything you put into your vault, and everything you export, belongs to you. You give us permission to host and process it — only as needed to run the service for you.
For personal data in your records, you're the controller and we're your processor under our Data Processing Agreement (kaixon.ai/dpa), which is part of this agreement and wins over it on data protection matters. For the data we're responsible for (your account, billing, the free check), see our Privacy Notice (kaixon.ai/privacy).
Don't put special-category personal data (health, political views and similar) into Kaixon — it isn't built for it and doesn't need it.
8. Our platform and templates
We own the Kaixon platform, its content, and the template designs. Your subscription gives you a non-exclusive licence to use the templates, reports and exports for your own business's internal use, for its own compliance. What the licence doesn't cover: reselling, white-labelling, redistributing, or offering Kaixon's content or output to third parties as a service.
The licence to anything you exported while subscribed survives cancellation. You may keep and use those files for your own business after your subscription ends. They are a snapshot as at the date of export: we don't update them, and the "kept current" promise applies only to documents inside your Kaixon vault while you subscribe. Every Word and Excel export carries a line saying so.
9. Fair use
Don't: use Kaixon for anything unlawful; probe, overload or interfere with its security or operation; scrape it or copy it to build a competing product; share one subscription or one trial across multiple businesses; or misrepresent Kaixon output as a certification, audit result, or legal opinion.
10. Availability and changes
We run Kaixon carefully and aim for it to be available whenever you need it, but we promise reasonable efforts, not a specific uptime, and we don't offer service credits. Short maintenance windows happen. Kaixon will keep evolving — we may add, change or retire features; if a change materially reduces what you're paying for, we'll tell you in advance and you can cancel before your next renewal.
11. EU AI Act assessment (Beta)
11.1 What the Beta label means. Our EU AI Act assessment, scoring and templates are marked "Beta". The EU AI Act is still being phased in and its obligations, deadlines and guidance are changing (including through EU amending legislation). We keep the Beta features current with published law and official guidance, but they may change as the rules do, and they may not reflect a change immediately.
11.2 Informational, not advice. Section 2 applies fully to Beta features: they're informational self-assessment tools, they don't guarantee compliance with the EU AI Act, and you remain solely responsible for how you classify your AI systems and meet your obligations.
11.3 Reliance. To the maximum extent permitted by law, we're not liable for loss arising from reliance on Beta features, from regulatory change occurring after the date of an assessment or alert, or from your classification or use of your own AI systems.
11.4 When Beta ends. We'll remove the Beta label when the relevant obligations and official guidance are stable enough for us to stand behind the assessment in the ordinary way. Sections 11.2 and 11.3 continue to apply after the label is removed.
12. Warranties and liability
No other warranties. Except as expressly stated in these terms, Kaixon is provided "as is" and we disclaim implied warranties (merchantability, fitness for a particular purpose, non-infringement) to the extent the law allows.
Liability cap. To the maximum extent permitted by law: neither party is liable for indirect or consequential loss (lost profits, lost business, regulatory fines imposed on you); and our total liability under this agreement is capped at the fees you paid us in the 12 months before the event giving rise to the claim. The cap doesn't apply to: a party's willful misconduct or fraud; your payment obligations; or either party's liability to data subjects under Article 82 GDPR, which the DPA addresses.
Your responsibility for your content. You're responsible for the lawfulness of the data and content you put into Kaixon, and you'll cover us for third-party claims arising from it or from your unlawful use of the service.
13. Changes to these terms
We may update these terms as Kaixon evolves. For material changes we'll give subscribers at least 30 days' notice by email; the new terms apply from your next renewal, so you can cancel first if you disagree. The current version always lives at kaixon.ai/terms. Each version has its own fixed page, so the version you accepted stays available to read.
14. Law, disputes, and the boring-but-important bits
- Governing law and venue: the law of the State of Wyoming, USA, and the state or federal courts located in Wyoming, except where the law of your country gives you mandatory rights or a mandatory forum that can't be contracted away — those are unaffected.
- If a clause fails, the rest stands (severability).
- Entire agreement: these terms + your order/checkout + the DPA + the Privacy and Cookie notices. The DPA wins on data protection matters.
- Assignment: you need our consent to assign this agreement; we may assign it in a sale of the business — your data protections travel with it.
- Force majeure: neither party is liable for what's genuinely outside its reasonable control.
- Notices: to you at your account email; to us at legal@kaixon.ai.
